VIRID AMPLIFIED HEALTH & WELLNESS WEIGHT LOSS PACKAGES

These programs are subject to the following terms and conditions:

Delivery will be made via remote communication (SMS,Call, Email)

General terms and conditions governing this quotation/contract are provided below.

This quotation has been approved by Virid Amplified Health and Wellness as evidenced by the signature of its authorized

representative below.

VIRID AMPLIFIED HEALTH & WELLNESS WEIGHT LOSS AGREEMENT

PRODUCT DESCRIPTION

The programs subject to this Agreement are the Virid Amplified Health and Wellness Weight Loss Package,

and Virid Amplified Health and Wellness Weight Loss Enhancement Membership- which are used to aid in clinical weight

management. The Member understands that the Provider is not the manufacturer of any prescribed

medications, and instead places the Member's Prescription with the appropriate Retail Pharmacy, or

503A/ 503B Compounding Pharmacy as deemed appropriate during the consultation.

MEMBER CONDITIONS - DISCLAIMER

If the Member declares to have been diagnosed with Hypothyroidism or Clinically Deficient Hormonal

Levels, the complete details of which have been disclosed on patient intake forms or discussed during a

health screening, the Member acknowledges that their results with prescribed Medications may vary.

This also includes Member declarations of using prescription medications like Antidepressants, T3/ T4

Thyroid Medications, and including but not limited to use of recreational drugs like Cannabis, Alcohol,

and Tobacco Products. Lastly, this disclaimer further applies to Members with a medical history of a

Thyroidectomy or Cholecystectomy.

Typically, Members with these conditions and instances will experience less weight loss than Members

without these conditions and instances. In the event that the Provider detects related symptoms in an

Undiagnosed Member, connected with the conditions and instances listed above, the Provider will

recommend to the Member any resources or services necessary to help Clinically Diagnose the Member

with Hypothyroidism or Clinically Deficient Hormonal Levels.

DISCLAIMER AND ACKNOWLEDGEMENT

The Member acknowledges that the use weight loss medications may not result in improvement of

the Member's condition and may even cause adverse reactions. There are no warranties, express or

implied, of any kind regarding the effectiveness or potential side effects of these medications.

Weight loss research on medications are typically based on Clinical studies conducted between 30-64

weeks long. There are no warranties, express or implied, of any kind regarding the effectiveness of the

medications within any time frame less than the duration of these published Clinical studies.

Best weight loss results have been shown when medications are used in combination with consistent

lifestyle changes, like improved diet and consistent exercise.

The Member accepts that it is their responsibility to use medications under the direction and

supervision of the prescribing Health Care Provider and qualified Virid Amplified Health and Wellness staff members.

RELEASE AND INDEMNIFICATION

The Member hereby releases, indemnifies, and holds harmless the Provider and its employees,

agents, and representatives from any and all liability related to the Member's use or misuse of

medications and any other supporting weight loss medications prescribed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Arkansas (state

the jurisdiction).

ENTIRE AGREEMENT

This Agreement represents the entire agreement between the parties concerning the use of

medications and any other supporting weight loss medications by the Member and supersedes any and

all previous oral or written agreements.

RETURNS OR DAMAGED GOODS POLICY

Virid Amplified Health and Wellness committed to providing prompt and efficient care for its Members. Part of Virid Amplified Health and Wellness's

commitment to Member satisfaction includes liaising with the Pharmacy to assist in providing Members

with updates on prescription order status and shipping. In exchange, Virid Amplified Health and Wellness also stands committed

to communicate Pharmacy rules and guidelines that Members must adhere by:

The Member agrees to check the contents of his or her order package immediately upon delivery. The

Member also agrees to report any missing items or product damage within 24 hours of receiving the

order package. No exchanges or refunds will be honored unless the Pharmacy is notified within

24 hours, no exceptions.

The Member is asked to keep all products and packaging in the condition as it was delivered. The

Pharmacy must report all damages immediately to the Delivery Carrier, (FedEX, UPS, USPS), for

inspection. Therefore, the Member must keep all products and packaging in the condition as it was

delivered. Lost packages are usually located and delivered by the Delivery Carrier. To avoid duplicate

shipments, replacement orders will be shipped after a claims process is complete.

The FDA prohibits a pharmacist from returning drug products back to stock once they have been out

of his or her possession. Therefore, there are no returns permitted by the Pharmacy.

The pharmacy is responsible for return shipping costs in the following circumstances only:

• The item was damaged during shipment

• An item was received that was not listed on the prescription

The Member understands that Virid Amplified Health and Wellness offers no facilitation of exchanges or returns of

medication, except in the event of damage to or defects in the packaging of the product prior to delivery.

Virid Amplified Health and Wellness may allow returns to its office only at its sole discretion or professional courtesy.

DELIVERY FAILURES

Virid Amplified Health and Wellness committed to providing prompt and efficient care for its Members. Part of Virid Amplified Health and Wellness's

commitment to Member satisfaction includes liaising with the Pharmacy to assist in providing Members

with updates on prescription order status and shipping. In exchange, Virid Amplified Health and Wellness also stands committed

to communicate Pharmacy rules and guidelines that Members must adhere by:

The Member will be responsible for the return shipping costs and any other costs that occur during

the delivery process for delivery failures including but not limited to: package refusals or if signature

unavailable. Some pharmacies may require all packages are sent with a required signature. Virid Amplified Health and Wellness

is not responsible for delivery failures that are a result of a declined signature.

BACKORDERED OR OUT OF STOCK ITEM

Virid Amplified Health and Wellness committed to providing prompt and efficient care for its Members. Part of Virid Amplified Health and Wellness's

commitment to Member satisfaction includes liaising with the Pharmacy to assist in providing Members

with updates on prescription order status and shipping. In exchange, Virid Amplified Health and Wellness also stands committed

to communicate Pharmacy rules and guidelines that Members must adhere by:

Pharmacy Inventory levels are kept as current as possible, however, from time to time an item may

become back ordered or temporarily out of stock. In these cases, the Pharmacy shall notify Member by a

notice in the package, by telephone, or email to apprise Member of the condition.

REFUNDS

Virid Amplified Health and Wellness committed to providing prompt and efficient care for its Members. Part of Virid Amplified Health and Wellness's

commitment to Member satisfaction includes liaising with the Pharmacy to assist in providing Members

with updates on prescription order status and shipping. In exchange, Virid Amplified Health and Wellness also stands committed

to communicate Pharmacy rules and guidelines that Members must adhere by:

All Pharmacy sales are final, there are no refunds on prescription medications.

All Virid Amplified Health and Wellness sales are final. Member may be entitled to receive a prorated refund in the

amount of program weeks not yet completed only at the sole discretion or professional courtesy

of Virid Amplified Health and Wellness.

Virid Amplified Health and Wellness MEMBERSHIP SERVICES

About Virid Amplified Health and Wellness Memberships

Virid Amplified Health and Wellness Memberships are a subscription service that offers specific prescription discounts and

access to referral Healthcare Services, and Wellness Products and Services. Virid Amplified Health and Wellness Memberships

are NOT health insurance. Virid Amplified Health and Wellness Gold is not intended as a substitute for insurance, and do not

meet any creditable coverage requirements under any state law. Virid Amplified Health and Wellness Memberships cannot be

combined with federal or state-funded programs such as Medicare or Medicaid.

A Virid Amplified Health and Wellness Membership is a premium program that provides members (“Members” and your status as a Member is

referred to as your “Membership”) even bigger discounts on prescriptions, healthcare provider visits, and

other services through the Site, the App, and Cards, and by email messages, which you may elect to

receive or opt out of receiving, sent to the email address associated with your account (collectively, the

“Membership Services”).

Virid Amplified Health and Wellness Memberships provide discounts at participating compounding pharmacies, but Virid Amplified Health and Wellness,

Inc does not pay pharmacies. You are obligated to pay for all services provided. You may obtain a

current list of participating compounding pharmacies by calling Virid Amplified Health and Wellness. In 2023, Members have

saved up to 86% on retail prescription prices. The amount you save will vary depending on your

individual retail prescription. Virid Amplified Health and Wellness Memberships provides an open formulary.

A Virid Amplified Health and Wellness Membership also offers access to preferred healthcare provider services to Members. The

healthcare services are provided by independent, physician-owned medical groups with a network of

U.S.-licensed healthcare providers (“Providers”) who provide clinical healthcare services (“Healthcare

Services”) at a negotiated rate to Members. Virid Amplified Health and Wellness Memberships only provide access from

participating Providers. The range of negotiated rate will vary depending on the type of Healthcare

Service received. Virid Amplified Health and Wellness, Inc does not provide medical advice or care, nor does it employ or pay the

Providers that provide referred Healthcare Services. Virid Amplified Health and Wellness Memberships facilitates a digital

communication platform for the Providers and their patients to connect through the use of asynchronous

and synchronous communication technologies. The Providers, and not Virid Amplified Health and Wellness, Inc, are responsible

for the quality and appropriateness of the care they render to Members. Members are responsible for all

fees due for the Healthcare Services, including any fees charged by the healthcare organization(s) or

Provider(s). The list of Providers, which may be updated from time to time, but no less frequently than

every six (6) months, can be found by calling Virid Amplified Health and Wellness. Providers provide healthcare services

commensurate with their scope of practice. Once you are a Member, you will have access to referred

visits for supported services without any waiting period.

Your Membership

In order to participate in the Services, you must first register for an account with Virid Amplified Health and Wellness, Inc (your

“Account”) in accordance with Virid Amplified Health and Wellness's Terms of Use. You must then complete the registration

process necessary to become a Member by following the instructions set forth in the Virid Amplified Health and Wellness

Membership application and providing certain information to Virid Amplified Health and Wellness, Inc, such as a payment method

(“Payment Method”), and your name, email address, date of birth, mailing address, pharmacy,

prescriptions, and any other information as requested by Virid Amplified Health and Wellness, Inc (“Registration Data”). You

agree that you will maintain and update this information as required in order to keep it current, complete,

and accurate. You also grant us the right to disclose to third parties certain Registration Data about you

for the purpose of administering the program. Virid Amplified Health and Wellness's collection and use of personally identifiable

information in connection with the Membership Services is governed by Virid Amplified Health and Wellness's Privacy Policy,

which is incorporated into these Membership Terms by reference.

You agree to fully, accurately, and truthfully create your Membership Account when providing the

Registration Data. Your Membership Account and credentials are personal to you, and you are solely

responsible for maintaining the confidentiality of your Membership Account or credentials, and for all

activities that occur under such Membership Account or credentials. You agree to prohibit anyone else

from using your Membership Account or credentials and agree to immediately notify Virid Amplified Health and Wellness of any

actual or suspected unauthorized use of your Membership Account or credentials or other security

concerns of which you become aware. You must be at least 18 years of age to become a Member.

Members (including annual Members) are limited to fifty (50) support calls per month.

Virid Amplified Health and Wellness Membership eligibility is determined by Virid Amplified Health and Wellness, Inc at its sole discretion. We reserve the

right to revoke any free trial and put your account on hold in the event that we determine that you are

ineligible for a Membership offer. We may use information such as device ID, method of payment, or an

account email address used with an existing or recent Virid Amplified Health and Wellness Membership to determine eligibility.

Virid Amplified Health and Wellness may change the price of your Membership from time to time, and will communicate any price

changes to you via the email associated with your Membership in advance of any price increase, and if

applicable, how to accept those changes. Price changes will take effect at the start of the next

Membership Cycle following the date of the price change. Subject to applicable law, you accept the new

price by continuing to use the Virid Amplified Health and Wellness Membership Services after the price change takes effect. If

you do not agree with a price change, you have the right to reject the change by unsubscribing from the

Membership prior to the price change going into effect.

Use of the Gold Services

Access to Information

Information about your Prescriptions. Most prescriptions purchased in the United States, including

prescriptions filled through the use of discount coupons, loyalty cards, or insurance copays, result in the

pharmacy reporting patient data back to the company that provides the benefit (“Claims Data”).

Virid Amplified Health and Wellness uses and stores this Claims Data linked to the information you provide when using the Services

(including, without limitation, your name, email address, prescription names, and your address) to

provide you with targeted coupons and discounts on prescriptions through your Account.

You agree to fully and carefully read all provided product information and labels and to contact a

physician or pharmacist if you have any questions regarding the prescription. Virid Amplified Health and Wellness fully honors

patient freedom of choice, and if you receive a prescription for a medication, you always have the option

to instruct Virid Amplified Health and Wellness to transmit that prescription to the pharmacy of your choice.

If you cancel your Membership, you may request that we delete your Claims Data by submitting an email request via [email protected].

Information about your Healthcare Visits

Information regarding your healthcare visit is provided to us, stored, and added to your Account.

Restrictions on Use

Whether you are a Member or an Add-On Member, you agree not to use the Membership Services in a

way that is, in Virid Amplified Health and Wellness's sole discretion, harmful to others (including minors) in any way or violates

any applicable law, regulation, obligation, or other similar restrictions imposed by a government entity.

You also agree not to violate any community requirements periodically posted by Virid Amplified Health and Wellness, remove

any copyright, trademark, or other proprietary notices from any portion of the Virid Amplified Health and Wellness Membership

Services (including any discount coupons or other Member-only content sent to you), cause or launch

any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any

portion of the Virid Amplified Health and Wellness Membership Services, or attempt to gain unauthorized access to, or impair any

aspect of the Services, or its related systems or networks (or to other computer systems or networks

connected to, or used together with the Services), whether through password mining or any other

means. You shall promptly notify Virid Amplified Health and Wellness, Inc if you learn of any security breach related to the

Services.

You agree that any prescriptions or pharmaceutical products that you acquire or obtain through

Virid Amplified Health and Wellness Membership Services will be solely for your personal use. Virid Amplified Health and Wellness may cancel, suspend, or

terminate your access to Virid Amplified Health and Wellness Membership Services at any time, and for any reason, including

any violation of these Terms.

No Medical Advice by Virid Amplified Health and Wellness

The Providers who provide referred healthcare visits as part of the Virid Amplified Health and Wellness Membership are

independent of Virid Amplified Health and Wellness and are merely using the Membership Services, or Platform as a way to

communicate with you. Any information or advice received from a Provider comes from them alone, and

not from Virid Amplified Health and Wellness. Your interactions with Virid Amplified Health and Wellness Membership Services, or Platform are not

intended to take the place of your relationship with your regular healthcare practitioners or primary care

physician. Neither Virid Amplified Health and Wellness, nor any of its subsidiaries or affiliates, or any third party who may promote

the Site, Virid Amplified Health and Wellness Membership Services, or Platform, or provide a link to the Site, Virid Amplified Health and Wellness

Membership Services, or Platform, shall be liable for any professional advice obtained from a Provider

via the Site or Platform, nor any information obtained on the Site or Platform. Virid Amplified Health and Wellness does not

recommend or endorse any specific Providers, tests, physicians, medications, products, or procedures.

You acknowledge that your reliance on any Providers or information delivered by the Providers via the

Site, Virid Amplified Health and Wellness Membership Services, or Platform is solely at your own risk and you assume full

responsibility for all risks associated therewith.

Virid Amplified Health and Wellness, Inc does not make any representations or warranties about the training or skill of any

Providers who deliver services via the Site, Virid Amplified Health and Wellness Membership Services, or Platform. You will be

provided with an available Provider based solely on the information you submit to the Site, Virid Amplified Health and Wellness

Membership Services, or Platform. You are ultimately responsible for deciding to accept the services of

your particular Provider.

The content of the Site and the Platform, including, without limitation, any text, copy, audio, video,

photographs, illustrations, graphics, and other visuals, is for informational purposes only and does not

constitute professional medical advice, diagnosis, treatment, or recommendations of any kind by Virid Amplified Health and Wellness. You should always seek the advice of your qualified health care professionals with any questions or concerns you may have regarding your individual needs and any medical conditions. All information provided by Virid Amplified Health and Wellness, or in connection with any communications supported by Virid Amplified Health and Wellness, is intended

to be for general informational purposes only, and is in no way intended to create a provider-patient

relationship as defined by state or federal law. While Virid Amplified Health and Wellness, Inc facilitates your selection of, and

communications with, Providers through Virid Amplified Health and Wellness Membership Services, Virid Amplified Health and Wellness does not provide

medical services, and the provider-patient relationship is between you and the Provider.

All other content available through the Virid Amplified Health and Wellness Membership Services and the Site are for

informational purposes only. The content is not intended to be a substitute for professional medical

advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health

provider with any questions you may have regarding a medical condition. Never disregard professional

medical advice or delay in seeking it because of the Site.

Virid Amplified Health and Wellness, Inc does not recommend or endorse any specific prescription drug or pharmacy that may be

mentioned on the Site. Reliance on any information provided by Virid Amplified Health and Wellness, Virid Amplified Health and Wellness employees or

others is solely at your own risk.

Fees and Payments

By starting your Membership, you authorize Virid Amplified Health and Wellness to charge your Payment Method a membership

fee at the then current rate, which may change from time to time (the “Membership Fee”), on the first day

of each Membership Cycle until your Membership is canceled, placed on hold, or terminated. Virid Amplified Health and Wellness

reserves the right to change the timing of its billing, provided that Virid Amplified Health and Wellness will adjust the amount it

bills in accordance with any such change.

If Virid Amplified Health and Wellness does not receive the Membership Fee from you, Virid Amplified Health and Wellness may terminate your access to

the Services. All fees are non-refundable, unless otherwise provided in these Terms. As between you

and Virid Amplified Health and Wellness, Virid Amplified Health and Wellness reserves the right to revise any fees at any time in Virid Amplified Health and Wellness's sole discretion.

If a Membership Fee is not successfully settled, and you do not edit your Payment Method information or

cancel your account (see, “Cancellation” below), you nonetheless will remain responsible for any

uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated,

including in the event you attempt to create a new account. This may result in a change to your payment

billing dates. If we cannot charge your account, we reserve the right, but are not obligated, to terminate

your access to our Site or any portion thereof.

Virid Amplified Health and Wellness will bill the Membership Fee to you through a third-party provider (currently, Stripe, Inc.)

Virid Amplified Health and Wellness uses to process payments for the Services from your financial service provider. The third-party

provider alone collects and manages your payment information, including, without limitation, any credit

card numbers; Virid Amplified Health and Wellness does not store or have access to any of your payment information. You may

have the option of establishing a payment account with the third-party provider to facilitate recurring

payments, which would then be subject to separate terms and conditions. Click here for more

Messaging Services

As part of Virid Amplified Health and Wellness Membership Services, Virid Amplified Health and Wellness may send pricing information and coupons via

communications, including, but not limited to, email and text messaging. By becoming a Member of Virid Amplified Health and Wellness Membership Services, you are consenting to be contacted with prescription-related information.

You acknowledge that there may be some risk that the information in the communication(s) could be

read by a third party.

HIPAA AUTHORIZATION

If you opt to use certain services or products provided by Virid Amplified Health and Wellness, such as booking healthcare

appointments via Virid Amplified Health and Wellness Wellness Group, Virid Amplified Health and Wellness may receive certain information that is held by

your health care providers and health plans may be considered “protected health information” or “PHI”

under the Health Insurance Portability and Accountability Act (“HIPAA”).

Authorization for Use and Disclosure

The purpose of this Authorization (“Authorization”) is to allow Covered Entities identified below to

disclose to Virid Amplified Health and Wellness. and affiliates and subsidiaries of Virid Amplified Health and Wellness. (“Virid Amplified Health and Wellness”) certain information about you, as further described below.

Covered Entities

Covered Entities include your past or current healthcare providers, prospective healthcare providers for

whom we display information, and your past or current insurance plan. If you opt to use certain services

or products provided by Virid Amplified Health and Wellness, Virid Amplified Health and Wellness may receive your information from these Covered

Entities.

Your Information

The information that you are requesting be disclosed by your Covered Entities to Virid Amplified Health and Wellness includes

your insurance coverage information, medical information, prescription and prescription-related

information, and pharmacy name and other contact information. If your medical information, prescriptions

and/or prescription-related information include information regarding any sensitive medical conditions

you may have, including but not limited to those related to mental health, substance use, HIV or other

communicable diseases, developmental disabilities, and/or genetic conditions, you authorize that

information to be used and disclosed pursuant to this Authorization.

By clicking “agree” below, you request that these Covered Entities provide Virid Amplified Health and Wellness your information

described above for the following purposes: to permit Virid Amplified Health and Wellness to provide you with its services and

products, directly or via a third party, to send you information to you about products and services that

may be of interest to you offered by Virid Amplified Health and Wellness or third parties, to enable and customize the use of

Virid Amplified Health and Wellness’s services and products for you, to provide you with updates and information about Virid Amplified Health and Wellness, to

permit Virid Amplified Health and Wellness to develop new products and services and analyze its existing products and services,

to support development of the Virid Amplified Health and Wellness services and to communicate with your health care providers.

Once disclosed to Virid Amplified Health and Wellness, Virid Amplified Health and Wellness will treat your information in accordance with Virid Amplified Health and Wellness’s privacy policy, including using such information for the purpose of supporting Virid Amplified Health and Wellness’s products,

services, and business operations as follows, including the use of third parties by Virid Amplified Health and Wellness to provide

such products, services and business operations

Expiration and Revocation of Authorization

You may revoke this Authorization by providing written notice of revocation to Virid Amplified Health and Wellness by emailing

Virid Amplified Health and Wellness with the subject line “Revocation of HIPAA Authorization.”

YOU CAN CHANGE YOUR MIND AND REVOKE THIS AUTHORIZATION AT ANY TIME AND FOR ANY (OR NO) REASON.

Not agreeing to this Authorization or revoking it at any time will not prevent you from receiving treatment

or payment for treatment from your Covered Entities, but you understand that it may prevent you from

being able to use all of the products and services offered by Virid Amplified Health and Wellness. You are not required to agree to

this Authorization.

You understand that if you sign this Authorization, information disclosed pursuant to this Authorization

may be subject to redisclosure by the recipient and no longer protected by federal privacy law. A

revocation of Authorization is effective after it is received and processed by the applicable Covered

Entities, but it does not have any effect on actions taken in reliance on this Authorization before the

Revocation is effective.

By checking the related box, you are confirming that this Authorization accurately reflects your wishes

with respect to the use and disclosure of your health information. In the event you are making a request

on another’s behalf, you certify you are the legal representative of the individual who is the subject of this

authorization.
